Clark Associates is seeking an experienced Corporate Paralegal who will work closely with the General Counsel on all corporate matters, including intellectual property (IP). The successful candidate will play a critical role in creating and managing the IP portfolio, and coordinating and handling a variety of administrative services, so dedication, an eye for detail, and communications skills are essential.
As Corporate Paralegal, your primary responsibilities will be:
- Draft legal contracts, correspondence and other documents
- Provide contract support for standard corporate agreements, such as non-disclosure, marketing, supply, manufacturing and professional services agreements
- Assist with paperwork needed by regulatory bodies
- Perform legal research
- Responsible for reviewing, tracking, and monitoring legislation that impacts the company’s products
- Produce documents related to the development and implementation of corporate policies and templates
- Provide administrative support for documents and activities related to corporate restructurings, such as mergers, acquisitions, formations, and dissolutions
- Responsible for support related to litigation, mediation, arbitration, and responses to complaints, including communicating with outside counsel
- Manage key aspects of IP protection and enforcement function
- Assist in the selection of in-house trademark docketing system
- Prepare trademark and copyright applications and other trademark prosecution documents for filing at appropriate federal and state offices
- Communicate with and draft correspondence to outside counsel and foreign associates
- Proactively manage trademark prosecution docket, ensuring all deadlines are met in a timely manner, communicate calendar and docket updates to attorneys
- Monitor external usage of trademarks through trademark watch notices, brand monitoring searches and services from third-party vendors
- Protect IP portfolio through assistance in identification of inappropriate use, preparation of cease and desist letters, take down notices, assertions of infringement and related correspondence
- Assist in opposition, cancellation, litigation and enforcement proceedings
- Assist in tracking of outside counsel billing and invoices
- Manage special projects as assigned
- Perform other related duties as needed or assigned
The ideal candidate will meet the following minimum requirements:
- College Degree or paralegal certification required
- 5+ years of law firm and/or in-house experience working with basic commercial contracts and general corporate matters
- Interest and experience in intellectual property, specifically trademark clearance and IP docketing, preferred
- Tech-savvy individual with knowledge of and experience in Google Docs, Google Drive and Microsoft Office Suite (Teams, Excel, Outlook, PowerPoint, Word), PDFs
- Strong written and verbal communication skills
- Organized, detail-oriented, and able to stay on-task
- Effective team contributor; ability to work independently
- Self-motivated, exercise sound judgement, and demonstrate effective planning, problem-solving and analytical skills
- Able to manage multiple and varied projects in a timely and effective manner
